Real Estate Due Diligence

Our legal and technical due diligence aims to be a clear basis for the purchasers' decision concerning their investment, and an instrument for the determination of the purchase price. The risks identified during the examination are analyzed and can therefore be considered in the pricing. When examining the tenancy contracts and the structure of tenants, we follow the principle: "Leave no stone unturned."

The results of the legal-technical due diligence determine the contractual provisions which define the object of purchase, the contents of the corporation (share deal), as well as liability questions (guarantees, exclusion and limitation of liability). The due diligence is carried out prior to the conclusion of the contract as a pre-acquisition audit. But also a post-acquisition audit might become necessary in some cases.

The due diligence particularly includes the following aspects of examination:

 

  • contract reviews (lease contracts, insurance contracts, facility management contracts, contracts with public utility companies, employment contracts etc.)
  • examination of easements, land servitudes, real property registers
  • track record of legal disputes during the past years
  • examination of public law requirements including fire protection
  • quality check of the purchase object including its service facilities and its energy efficiency
  • determination of potential further costs for maintenance, revaluation or conversion of the object
  • legal and technical examination of the possibilities to change the occupancy of the object
